SmartSite system setup

Hosting and maintenance services
These services combine website infrastructure with automation systems that simplify lead capture, follow-up, and management.
3. Eligibility
Our Services are intended for business owners located in the United States who are 18 years or older.
By using our Services, you represent that you meet these eligibility requirements.
4. Payment Terms
Setup and Subscription
BGXStudios operates on a setup fee + monthly subscription model.
Setup fees are charged before work begins.
Monthly subscriptions cover hosting, maintenance, automations, and ongoing access to the SmartSite system.
Refunds
We do not offer refunds once work has begun, except at the sole discretion of the owner.
Trials
Free trials or demo access may be offered on a limited, case-by-case basis, solely at the discretion of BGXStudios.
Late or Non-Payment
Failure to make payment may result in suspension or termination of Services until the account is brought current.
5. User Responsibilities
Clients agree to:
Provide accurate, truthful, and complete information during onboarding.
Use all BGXStudios systems and automations lawfully and ethically.
Not misuse or attempt to modify BGXStudio systems.
Not use the Services to send spam, violate regulations, or interfere with other users.
6. Ownership and Intellectual Property
Agency Property
All SmartSite systems, templates, automations, workflows, and AI integrations are the exclusive property of BGXStudios.
Clients are granted a non-transferable, revocable license to use their SmartSite while their subscription remains active — similar to renting property from an owner.
Client Property
Clients retain full ownership of:
Their business name, logo, and brand assets
Data submitted through forms or collected via their SmartSite
Customer information gathered through the system
When a subscription ends, the client may retain their data, but not the SmartSite system itself.
AI-Generated Content
All AI outputs (text, designs, or copy) created within or by BGXStudios systems remain part of the licensed SmartSite and are not transferable or owned by the client.
7. Restrictions and Fair Use
Clients may:
Use and profit from the SmartSite system
Store and manage data through the system
Integrate approved third-party tools
Clients may not:
Resell, duplicate, or redistribute any SmartSite system, code, or automation
Reverse-engineer or rebrand BGXStudios’ frameworks
Share backend system access without authorization
8. Service Modifications
BGXStudios reserves the right to modify, suspend, or discontinue parts of its Services or pricing at any time, with reasonable notice to active clients.
9. Termination
By the Client
Clients may cancel their subscription at any time. Service access will remain active through the paid period.
By BGXStudios
BGXStudios may suspend or terminate an account for:
Non-payment
Misuse, abuse, or violation of these Terms
Any behavior deemed harmful to BGXStudios’ operations or reputation
In such cases, BGXStudios may issue notice before terminating access, except in cases of fraud or illegal activity.
10. Disclaimers and Limitations of Liability
BGXStudios guarantees the proper functionality of its systems — SmartSite builds, hosting, automations, and AI integrations.
However, we do not guarantee:
Lead volume, business results, or revenue outcomes
Any factor beyond our control, including third-party platform performance or algorithm changes
To the maximum extent permitted by law, BGXStudios shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use the Services.
11. AI Usage and Limitations
Clients understand that BGXStudios uses AI tools (such as OpenAI integrations) to enhance system functionality and user experience.
While AI outputs are designed to be accurate and professional, BGXStudios cannot guarantee that automated responses or content will be error-free.
Clients are responsible for reviewing and approving any AI-generated content before public use.
12. Service Suspension and Technical Interruptions
From time to time, system maintenance, updates, or outages may occur. BGXStudios will make reasonable efforts to minimize downtime and notify clients of major service interruptions.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Pennsylvania, United States.
Any disputes arising under these Terms shall be resolved exclusively in the courts located within Pennsylvania.
14. Changes to These Terms
BGXStudios may update these Terms occasionally to reflect service changes or legal requirements. The latest version will always be available at bgxstudios.com/terms. Continued use of our Services constitutes acceptance of the updated Terms.
